1. Scope

1 These general terms and conditions (hereinafter also referred to as “GTC”) are the exclusive basis for the provision of contracted services.

2 These terms and conditions apply exclusively to entrepreneurs within the meaning of Section 14 BGB, i.e. natural, legal persons or partnerships with legal capacity, who act in the exercise of their commercial or independent professional activity when concluding a legal transaction.

3 These terms and conditions apply exclusively. Divergent, conflicting or supplementary conditions apply only if both parties have expressly agreed to them in writing.

2. Subject matter of the contract

The client transfers services to the contractor, which may be:

• Facility Management
• Building cleaning services
• Industry service
• industrial packaging

3. Conclusion of contract

The service contract is concluded by mutually signing the contractor and client.

4. Rights and obligations of the contracting parties

SR Regensburger GmbH only offers the services offered in the price and service list (offer) at the prices stated there. The provision of different services must be agreed individually, such as special cleaning, building cleaning, glass cleaning, green area maintenance, winter maintenance and other services.
The contractor undertakes to professionally execute and use reliable personnel.
The contractor provides machinery, equipment and cleaning and care products. The client provides water, electricity and suitable rooms free of charge.
Staff are required to return found objects immediately.
The contractor confirms that all employees have been obliged in writing to secrecy, data secrecy (§ 5 BDSG) and, where applicable, telecommunications secrecy (§ 88 TKG).
Damages must be reported immediately, otherwise it is assumed that no damage was caused by SR Regensburger GmbH.
Costs for the client's systems or contracted service providers are not covered.
The client is liable for loss of rental items.

5. Payment term, billing period and price increase

Invoices are payable within 30 days without deductions.

The remuneration is based on the valid price and service schedule plus statutory value added tax.
Invoicing is carried out retroactively for a full month or after the service has been provided.
Price adjustments are announced at least three months in advance (e.g. due to higher raw material, personnel or supplier costs).
In the event of late payment, you can cancel without notice.

6. Liability and indemnification

SR Regensburger GmbH is fully liable in the event of intent.
Negligence is only liable for breaches of essential contractual obligations — limited to typically foreseeable damage.
Restrictions also apply to personal liability of employees.
Liability for keys/locking systems only with a written handover report.

7. Contract duration and termination

The contract comes into force upon mutual signature. Default duration: 2 years, 3 months trial period.
Extension of 1 year, unless terminated in writing 6 months before the end of the year (registered letter). The extension is automatic every year unless you cancel 6 months in advance.
After the end of the contract, data will be deleted, provided that there are no legal storage periods.
Special right of termination in the event of bankruptcy.
The client undertakes to purchase all services exclusively from SR Regensburger GmbH.
At the end of the contract, all machines and materials must be removed.

8. Collective wage agreement for building cleaning crafts

The wage collective agreement for the Bavarian building cleaning trade and the framework collective agreement apply.

9. Obstacles to performance and force majeure

Force majeure, strikes, unrest, pandemics, official measures or other unforeseeable events exempt SR Regensburger GmbH from the obligation to perform for their duration.

10. Data protection

Personal data is processed in accordance with legal data protection regulations. For details, see privacy policy.

11. Confidentiality

All information is kept confidential. Disclosure is prohibited, except for publicly available information.

12. customer reference

SR Regensburger GmbH may name the client as a reference and use brands/logos for this purpose until further notice — without revealing trade secrets.

13. Prohibition of solicitation

Both parties agree not to poach any employees from the other party during the term and two years thereafter.
In case of infringement: compensation of at least a gross annual salary, but at least 50,000€.

14. Other provisions

Right of retention only due to counterclaims arising from this contractual relationship.
Offsetting only against undisputed or legally binding claims.
Additional agreements must be made in writing.
Ineffective provisions will be replaced by economically equivalent provisions.
Place of fulfilment and jurisdiction: Regensburg.
German law applies (excluding CISG). The German text is decisive for multilingual versions.
